1. Agreement

These Terms & Conditions ("Terms") form a legal agreement between you and Initphase Pte. Ltd. and govern your access to and use of the MadeAgentic-branded AI agent platform, website, and related services we operate.

2. Services

We provide AI-powered voice and chat agents, workflow automation, and related tooling for businesses. By using the MadeAgentic services, you agree to these Terms.

3. User Obligations

• You must use our services lawfully and ethically.
• You are responsible for your agent configurations and content.
• You must not attempt to reverse-engineer our services.
• You must maintain confidentiality of your credentials.
• You must have rights to any content you upload.
• Where your agents interact with end users, you are responsible for providing appropriate privacy notices and obtaining any required consents for the collection and processing of their data.

4. Data Processing & Privacy

Your data is stored primarily in Frankfurt, Germany (EU). We process personal data in accordance with applicable privacy and data protection laws, including the Singapore Personal Data Protection Act 2012 where applicable. See our Privacy Policy for details.

Where we process personal data on your behalf as a processor, the Data Processing Agreement at /legal/dpa forms part of these Terms.

5. Fees, Billing & Taxes

Subscriptions and related fees are billed according to your selected plan or commercial agreement. Unless stated otherwise, fees are exclusive of applicable taxes, duties, and bank or payment-provider charges.

6. Fair Use Policy

Our subscription plans include generous conversation allowances designed for normal business use. Fair use means your agent handles genuine interactions with your website visitors and customers.

The following are not considered fair use:

• Automated or bot-generated traffic directed at your agent.
• Using the service for load testing, benchmarking, or stress testing.
• Reselling, sublicensing, or sharing agent access with third parties beyond your organisation without an approved partner agreement.
• Generating conversations that serve no legitimate business purpose.

If your usage significantly exceeds what is typical for your plan, we will contact you to discuss upgrading to a plan that better fits your needs. We reserve the right to apply rate limits or suspend service where usage is clearly outside the scope of fair use.

7. Intellectual Property

You retain ownership of your content. We retain all rights to our platform and technology. You grant us a limited license to process your data for service provision.

8. Liability

Our liability is limited to the amount paid in the preceding 12 months. We are not liable for indirect or consequential damages. Services are provided "as is" with statutory warranties.

9. Termination & Suspension

Either party may terminate with 30 days' notice. We may suspend immediately for Terms violations. Data is deleted within 90 days post-termination, unless longer retention is required by law.

We reserve the right to restrict, rate-limit, or suspend access to our services based on geographic location, usage patterns, or suspected abuse, in order to protect the security and integrity of the platform.

10. Governing Law

These Terms are governed by the laws of Singapore. The courts of Singapore will have exclusive jurisdiction over disputes arising out of or in connection with these Terms, unless applicable law requires otherwise.
